Support the in-house legal counsel in specific legal areas like banking regulations and key functions like compliance. May be engaged on a part-time, flexible basis of around 10-20 hours a week (40-80 hours a month) but must be willing to provide substantive legal support. Assist in-house legal counsel on the following projects and legal work: Draft and negotiate legal documents like SAFTs and SAFEs in preparation for capital raising activities for several companies Corporate restructuring of an offshore company and of a decentralized autonomous organization (DAO) within an international context Review of contracts and other legal documents or communications and audit of existing ones Assist on compliance and government license applications with the SEC, BSP, etc. Legal research on special projects such as those involving intellectual property law and securities or investment law Monitor key regulatory developments in such areas (Philippines and other key jurisdictions like the US) both for proactive crisis management and commercial opportunities on the drafting and creation of policies in compliance, marketing and communications review, data protection, AML and due diligence processes Corporate housekeeping of various legal entities (Philippines and other jurisdictions) by auditing, maintaining and tracking records and files like board resolutions and agreements Creation of crisis and contingency plans in anticipation of regulatory scrutiny or future litigation and disputes Draft and negotiate employment agreements and assist in human resource functions Help in the audit of marketing materials and communications for possible clean up and de-risking Attend meetings or calls with the in-house counsel with the founders as needed Requirements Licensed lawyer in the Philippines Must be willing to engage in substantive legal work like review and drafting of contracts, legal research, etc. (not just an advisory role) Preferred Work experience in any of the following: As an associate of a top law firm (ACCRA, SycipLaw, Romulo) with a specific focus on banking, tax, corporate or commercial law Tech or fintech company Bank or major credit company Government agencies like the SEC, BSP, or AML Familiarity with the crypto industry or blockchain technology (e.g., may have invested in some assets in Binance or have participated in play-to-earn games) Benefits HMO Work From Home Tokens Leave Credits Training & Development
